Jason is a member of the Firm’s Corporate Practice Group. He assists clients on a variety of corporate and business-related issues, including commercial transactions, mergers and acquisitions, land use and zoning issues, franchising, and business entity formation.

Jason Assists Clients With

  • Commercial transactions and agreements, especially those governed by the Uniform Commercial Code
  • Asset purchase agreements, leases, and related documents in connection with the purchase and sale of businesses
  • Organizational documents associated with the formation of business entities, including shareholder agreements and operating agreements
  • All aspects of the franchising process from both the franchisor and franchisee perspective
  • Due diligence in business transactions

Examples of Jason’s Recent Work

  • Drafted distributor agreement and provided advice to client, enabling client to become exclusive distributor of goods throughout North America
  • Prepared 23 Item Franchise Disclosure Documents to permit clients to begin marketing their franchised businesses and to ensure compliance with the new Federal Trade Commission franchising law
  • Assisted bidder in multiple aspects of receivership auction
  • On behalf of telecommunications company, engaged in extensive negotiations with Federal Aviation Administration to successfully secure the safe placement of a communications tower within close proximity of an airport in Wisconsin
  • Worked closely with client to resolve multiple issues related to client’s stock ownership and the debt owed to it under various loan documents
  • Drafted asset purchase agreement and related agreements to assist client in the purchase of a service-based company in Southeastern Wisconsin
  • Guided bank client through complex credit issues related to its mortgages and security interests in the borrower corporation’s various properties
  • Advised various clients about their rights and obligations under the Uniform Commercial Code in connection with forged checks, the sale of goods, and the best way to obtain and perfect a security interest in an LLC membership interest
  • Alerted bank client to the potential enforceability issues of multiple agreements connected with a commercial loan
  • Advised client on the formation of its limited liability company and drafted its operating agreement
