Jason is a member of the Firm’s Corporate Practice Group. He advises and represents individuals, businesses, and banks on a variety of corporate, banking and business-related issues, including mergers and acquisitions, loan documentation, commercial transactions, corporate issues, franchising, contract negotiation and preparation, and business entity selection and formation.

  • Independently handled the sale of a Milwaukee transportation company
  • Independently represented multiple bank clients to document new loans and forbearance related amendments to existing loans in total amounts exceeding 8 figures
  • Independently handled the purchase of a retail food business in Southeastern Wisconsin
  • Independently handled the acquisition of a bar and nightclub in downtown Milwaukee
  • Independently represented buyer in purchase of business, which contained an earnout payment and seller financing, along with a non-compete agreement
  • Represented purchaser of Milwaukee bar; independently coordinated liquor license application to ensure it was timely obtained
  • Independently drafted, negotiated, and finalized numerous business agreements on a variety of transactions
  • Independently represented numerous clients on the formation of their businesses and the preparation of their organizational documents, including operating and shareholder agreements
  • Drafted and negotiated multiple asset purchase agreements, stock purchase agreements and related agreements to assist clients in the purchase and sale of businesses
  • Prepared multiple non-compete agreements and confidentiality and non-disclosure agreements, in both the employment and sale of business context
  • Assisted client in obtaining assets of distressed business, negotiating complex creditor issues, and marketing assets to strategic buyer
  • Independently reviewed, revised, and negotiated commercial lease to ensure tenant obtained favorable lease terms for its new business
  • Prepared Franchise Disclosure Documents to permit clients to begin marketing their franchised businesses and to ensure compliance with applicable national and state laws
  • Guided bank client through complex credit issues related to its mortgages and security interests in the borrower’s various assets
